Corporate finance, listings & securities compliance

We advise a range of businesses from startups to seasoned companies on capital raising including private equity rounds, private placements and public offerings. We represent companies in go public transactions through Reverse Mergers (RTO's) and IPOs. We act for clients in applications to list on a Canadian or foreign stock exchange. We also provide our public company clients with comprehensive securities and listings compliance advice and support in meeting regulatory requirements with a focus on disclosure and financial reporting.

Business & corporate law

We provide guidance to business organizations at all stages, including 

formation and capital structure, management and governance, and 

preparation of shareholder agreements. We advise on business combinations, mergers and  acquisitions, the sale and purchase of businesses, and on commercial agreements. We also prepare management, employment and consulting agreements and related equity-based compensation incentives including stock options plans, restricted share award/unit plans and long term incentive plans. We also advise on terminations of employment.

Arbitration, Mediation and Advocacy

Robert is accredited as a Qualified Arbitrator and a Qualified Mediator by the ADR Institute of Canada. Robert has received extensive mediation and negotiation training at Harvard Law School's Program on Negotiation. Robert has received certifications for completing Harvard's Mediating Disputes program, Harvard's Mediation and Conflict Resolution Program, and Harvard's Masterclass on Negotiation. With these credentials and experience, Robert has developed a strong sense of what it takes to optimize the conditions for mediating disputes efficiently based on interest-based bargaining. Robert is also a certified Workplace Investigator with the Human Resources Association of Ontario.

We understand securities regulation from an insider's vantage point with 7 years of in-house counsel and policy experience at the TSX. While working at the Exchange, Robert was the Exchange’s representative on high profile collaborative securities regulatory investigations resulting in widely publicized  prosecutions. We understand what drives investigations. We have advocated for clients with securities regulatory authorities. Our suite of regulatory advocacy services  is supported by the litigation and advocacy team at Roy O'Connor LLP.

Governance

We advise and guide directors, officers, boards and board committees through their decision making process, to ensure best practices, risk mitigation, transparency and accountability. We also guide management and boards on changes of control and management and board transitions.
